Purchase conditions

  • SCOPE OF APPLICATION. These General Conditions apply to any sale or service described in our brochures, price lists, advertisements, quotes, online, or verbally. Any modification must be made in writing by TECHNO SUN SLU. Any other terms or conditions are excluded. Your order implies acceptance of these General Conditions.
    TECHNO SUN SLU reserves the right to modify its General Conditions at any time.
  • ORDER/CONTRACT . Orders will be accepted in writing by email, telephone, or fax and will only be binding once accepted by TECHNO SUN SLU through order confirmation by any of the means of communication described above. You must check the order confirmation and notify us immediately in writing of any errors. Otherwise, the product description in the order confirmation will become part of this contract and will be binding on the parties.
  • PRICE AND PAYMENT TERMS . Quotes or financial offers will only be valid in writing and for the period indicated therein. If no period is indicated, it will be 30 days (10 days for third-party products). TECHNO SUN SLU reserves the right to supply products other than those ordered (including third-party products) at any time, guaranteeing that the functions, features, and operation of the delivered products will be equivalent to those ordered. The product price and payment terms will be established in the order confirmation. The price excludes taxes, shipping, insurance, installation, and structural costs. Exchange rates, tariffs, insurance, and production costs (including those for components and services) may cause TECHNO SUN SLU to adjust its prices. Payment will be made at the time the order is placed or under the conditions established in the order confirmation. TECHNO SUN SLU may suspend delivery of the goods or provision of the service until full payment has been made. In the event of late payment (non-payment), collection fees will be charged, and late payment interest of 1% will be applied to the amount owed for each month the amount remains unpaid, from the payment due date until full payment. TECHNO SUN SLU reserves the right to require prior approval of credit card charges or payments and/or bank certification of checks.
  • DELIVERY/TITLE/RISK . Delivery will be made within the time indicated in the order confirmation. Deliveries may be made in installments. The delivery location is indicated in the order confirmation. TECHNO SUN SLU reserves the right to repossess the product in the event of total or partial non-payment of the price. Until the full price is paid, you may not sell or encumber the product. If you refuse delivery without our prior approval, any resulting costs or damages will be at your expense, including storage, until acceptance.
  • ACCEPTANCE . You must inspect the product immediately after delivery within 24 hours for inspection or rejection. After this period, you will be deemed to have accepted the product. If you are entitled to return a product and do so, you must return it in its original condition, with its packaging, return slip, and proof of purchase. Return shipping costs will be at your expense, unless there is justification for the return under the product warranty. If the purchase was made remotely, via the Internet, mail-order, telephone, or catalog, you have the right to return the product unless otherwise specified in the offer. The costs and expenses of such return shipping will be borne by the customer.
  • WARRANTIES . Warranties are included in the Warranty Policy supplied with the product(s) and will be governed by the provisions of this document, except as indicated below. We guarantee that the product (excluding third-party products) is free from defects for 12 months after delivery, with 90 days from installation for replacement parts. If the product proves defective during this period, TECHNO SUN SLU will repair or replace it within a reasonable time. You will allow TECHNO SUN SLU to examine the product, at our discretion, at your home or at TECHNO SUN SLU's facilities. TECHNO SUN SLU is the owner of the replaced parts and spare parts. TECHNO SUN SLU will take the necessary care to resolve problems within a timeframe appropriate to the circumstances.
    TECHNO SUN SLU does not guarantee or accept liability for: Damage caused by improper installation, use, modification, or repair by an unauthorized third party or yourself; Damage caused by any person or other external force; Suitability of the product for a particular purpose, purpose, or use; Any instructions given by you and correctly carried out by TECHNO SUN SLU.
    TECHNO SUN SLU's liability for any breach of this warranty, its service commitments, or any other type of breach shall in no case exceed the price of the product stated in the order confirmation.
  • SERVICES . The services, once agreed upon with the client, will be provided by TECHNO SUN SLU. Response times are estimated and may vary depending on the location or accessibility of the product. The service may be provided by telephone or online, where applicable.
    If agreed upon and indicated in the order confirmation, the service offering may include advice, labeling, installation, integration, removal, training, and/or consultation.
    Unless expressly stated in the order confirmation, the service does not include: items excluded from the warranty, configuration changes, relocation, preventative maintenance, work that TECHNO SUN SLU does not consider necessary, or electrical work. Repairs to third-party products will be performed in accordance with the manufacturer's or licensor's warranty. Spare parts that are not critical to the product's operation cannot be replaced within the service offer period.
  • EXPORT CONTROL . The product may include technology and software subject to the export control laws of the U.S. and the country in which the product is delivered or used, with which you must comply. The product may not be sold, leased, or transferred to end users or countries restricted by such laws, or to users involved in weapons of mass destruction or genocide. U.S. restrictions often vary depending on the product, so you should consult the applicable U.S. regulations in each case.
  • FORCE MAJEURE. We do not accept any liability for delays (including deliveries or services) caused by circumstances beyond our reasonable control, and we shall be entitled to an extension of the performance period; examples of such circumstances include, but are not limited to, strikes, transport, supply, or production problems, exchange rate fluctuations, government measures, and natural disasters. If the cause lasts more than two months, this agreement may be terminated by either party without compensation.
  • CONFIDENTIALITY . The parties must treat any information received from the other party that is marked "confidential" or that may reasonably be considered confidential in the same manner they would treat their own confidential information.
  • TERMINATION . TECHNO SUN SLU may terminate this Agreement upon written notice if: 1) the price is not paid on time, for which purpose the parties expressly agree that non-payment in whole or in part will result in the automatic termination of the Agreement; 2) you violate, or TECHNO SUN SLU suspects that you have violated, export control laws. Either party may terminate this Agreement if the other party 1) materially and persistently breaches this Agreement and fails to remedy such breach within 30 days of being required to do so in writing; or 2) declares bankruptcy, enters into receivership, or is otherwise unable to pay its debts when due. TECHNO SUN SLU may choose to enforce its obligation to pay the price and in all cases demand compensation for damages.
  • CUSTOMER OBLIGATIONS . You will be responsible for: Your own choice of product and its suitability for a purpose or objective. Your telephone and shipping costs, if applicable, to contact TECHNO SUN SLU. You will address our staff with sufficient courtesy, and will provide sufficient information, cooperation, and access so that TECHNO SUN SLU can fulfill its commitments, otherwise being exempt from our obligations. DATA PROTECTION. Your data will be processed in accordance with applicable data protection legislation, to which you give your express consent. You may request that we not use your data for direct marketing purposes. You may exercise your rights of access, rectification, and erasure by writing to the address of TECHNO SUN SLU.
  • CONSUMER RIGHTS . If you are a Consumer, nothing in this Agreement will affect in any way the public policy provisions regarding consumer rights.
  • JURISDICTION . These terms and conditions shall be governed by Spanish law. For the resolution of any questions, discrepancies, or differences that may arise regarding the performance and interpretation of this Agreement, the parties submit to the Courts and Tribunals of the city of Valencia, waiving any other jurisdiction that may apply.
  • MISCELLANEOUS . If any provision of this agreement is declared invalid or unenforceable by a court, the remainder of the agreement will not be affected. TECHNO SUN SLU may subcontract its obligations to third parties. Neither party may assign or transfer obligations or rights. Notifications must be made in writing (by hand, email, fax, or certified mail) and sent to the other party's legal representative.

  • LEGAL ACTIONS, APPLICABLE LAW, AND JURISDICTION . The relationship between the user and TECHNO SUN, SL shall be governed by current Spanish legislation, and the Courts and Tribunals of the city of Valencia shall be competent to decide any dispute that may arise between the user and TECHNO SUN, SL.
